These Terms of Service (“Terms”) are a legal agreement between you (“Customer,” “you”) and OTG Consulting, LLC, a single-member Illinois limited liability company, which offers the FinnStatement product line (“FinnStatement,” “we,” “us,” “our”). They govern your access to and use of finnstatement.com (the “Site”) and your purchase and use of our digital bookkeeping templates (the “Templates,” and together with the Site, the “Service”).

By purchasing a Template, downloading a resource, or otherwise using the Site, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

FinnStatement sells pre-built, digital bookkeeping and financial-tracking templates in Google Sheets format, designed for U.S. self-employed solopreneurs to organize income, expenses, and basic recordkeeping. Templates are sold on a one-time, per-purchase basis — this is not a subscription, and no recurring charges are made unless you separately opt into a distinct paid offering that says so explicitly.

Purchased Templates include lifetime updates, meaning you’ll receive future revisions to the version(s) you purchased at no additional charge, for as long as we continue to offer and support that product.

2. Educational Content Only — Not Tax, Legal, or Financial Advice

This is important. Please read it carefully.

FinnStatement’s Templates and any accompanying content (blog posts, guides, emails, help text) are provided for general educational and informational purposes only. They are not tax advice, legal advice, financial advice, or accounting advice, and they do not create any advisor-client, accountant-client, or attorney-client relationship between you and FinnStatement or OTG Consulting, LLC.

• We are not a licensed CPA firm, tax preparer, financial advisor, or law firm, and nothing in the Templates or the Service should be treated as a substitute for advice from a qualified professional familiar with your specific situation.
• Tax laws, thresholds, and requirements change and vary by jurisdiction. You are solely responsible for verifying that any category, calculation, or approach reflected in a Template is correct and current for your circumstances before relying on it — including for tax filings.
• You should consult a licensed CPA, Enrolled Agent, tax attorney, or other qualified professional before making financial or tax decisions based on information organized using our Templates.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to purchase or use the Service. The Service is intended for individuals operating a business or self-employment activity in the United States; we do not represent that the Templates comply with the tax or accounting requirements of any other country.

4. No Account Required

FinnStatement does not require you to create an account or log in. Templates are delivered as downloadable files via Gumroad. You are responsible for saving, backing up, and securing your own copies once delivered.

5. Purchases, Payment, and Taxes

• Processor. All purchases are processed by Gumroad, Inc. (“Gumroad”), an independent third-party payment and fulfillment platform. Your purchase is also subject to Gumroad’s own terms of service and privacy policy. FinnStatement never receives or stores your payment card information.
• Price. The current Template price is displayed at checkout (e.g., $29 one-time). Prices may change for future purchases but will not change for Templates you’ve already purchased.
• Taxes. Any sales tax, VAT, or similar transaction tax required by law is calculated and collected by Gumroad at checkout, where applicable. You are responsible for any taxes arising from your own use of the Templates in your business.

6. License Grant (Your Right to Use the Templates)

Subject to your compliance with these Terms and payment of the applicable price, we grant you a limited, perpetual, non-exclusive, non-transferable, single-user license to download, copy for your own use, and use the Templates solely for your own personal or business bookkeeping purposes.

You may:

• Make copies of a purchased Template for your own ongoing use (e.g., one copy per tax year);
• Customize, edit, and adapt a purchased Template for your own internal use;
• Use a purchased Template for multiple businesses you personally operate.

You may not, without our prior written permission:

• Resell, sublicense, rent, lease, or otherwise distribute a Template (in original or modified form) to any third party, whether for payment or free of charge;
• Share your purchased copy or your Gumroad download link with others who have not purchased their own license;
• Claim authorship of, or represent a Template (modified or unmodified) as your own original product for resale;
• Use a Template to build a competing bookkeeping-template product or service;
• Remove or obscure any FinnStatement branding, attribution, or notices embedded in the Template, where present.

This license does not transfer ownership of the Template. FinnStatement and OTG Consulting, LLC retain all intellectual property rights in and to the Templates, including all design, formulas, structure, and associated content, except for your own data that you enter into your copy.

7. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable law;
• Infringe the intellectual property or other rights of FinnStatement or any third party;
• Attempt to reverse-engineer, scrape, or interfere with the operation of the Site;
• Misrepresent your identity or affiliation in connection with the Service;
• Use the Service to harass, defraud, or harm any other person.

8. Refunds

We want you to be satisfied with your purchase. If a Template doesn’t work for you, you may request a refund within 30 days of purchase by emailing hello@finnstatement.com with your order details. Refund requests are also subject to Gumroad’s standard buyer-protection policies, which may independently apply to your purchase. We reserve the right to decline refund requests made outside the stated window, for Templates that have been substantially used, or in cases of suspected abuse (e.g., repeated purchase-and-refund cycles).

Refunds are issued to the original payment method through Gumroad and may take several business days to appear, depending on your bank or card issuer.

9. Third-Party Services

The Service relies on and links to third-party services we don’t control, including Gumroad (payment/fulfillment) and, where applicable, Google Sheets (the software you use to open and edit Template files). We are not responsible for the availability, performance, security, or terms of these third-party services. Your use of them is governed by their own terms and policies.

10. Privacy

Our collection and use of your personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

11. Disclaimer of Warranties

THE SERVICE AND ALL TEMPLATES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, TO THE FULLEST EXTENT PERMITTED BY LAW. This includes, without limitation, disclaiming any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Templates will be error-free, uninterrupted, or will meet your specific requirements. We do not warrant that any calculation, formula, or category in a Template is accurate, complete, or appropriate for your specific tax or business situation — see §2 above.

Some states do not allow the exclusion of certain implied warranties, so some of the above exclusions may not fully apply to you; in that case, this disclaimer applies to the maximum extent permitted by applicable law.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

• FinnStatement and OTG Consulting, LLC (and our officers, members, and contractors) will not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or business interruption — arising out of or related to your use of the Service or Templates, even if we’ve been advised of the possibility of such damages.
• Our total aggregate liability to you for any claim arising from or related to the Service or these Terms will not exceed the amount you actually paid to us for the Template giving rise to the claim, or $29, whichever is greater.
• Nothing in these Terms limits liability that cannot be limited under applicable law (for example, liability for our own gross negligence or willful misconduct, where such a limitation is not permitted).

13. Indemnification

You agree to defend, indemnify, and hold harmless FinnStatement and OTG Consulting, LLC from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of: (a) your violation of these Terms; (b) your misuse of the Templates, including any unauthorized resale or redistribution; or (c) your violation of any law or the rights of a third party. We do not indemnify you.

14. Termination

You may stop using the Service at any time. We may suspend or terminate your access to future purchases or Site features if we reasonably believe you’ve violated these Terms (for example, unauthorized redistribution of a Template). Because Templates are delivered as downloaded files, termination does not retroactively revoke files already lawfully downloaded, but your license to use them under §6 remains subject to your ongoing compliance with these Terms. Sections that by their nature should survive termination — including §2, §6 (redistribution restrictions), §11, §12, §13, §15, and §16 — will survive.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws principles.

Informal resolution first. Before filing a claim, you agree to contact us at hello@finnstatement.com and give us 30 days to resolve the dispute informally.

Courts and class-action waiver. If we can’t resolve a dispute informally, you and FinnStatement agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Illinois, and you consent to personal jurisdiction there. To the fullest extent permitted by law, you and FinnStatement each waive any right to a jury trial and to bring or participate in a class action, class arbitration, or representative action; disputes will be handled only on an individual basis. Either party may still bring an individual claim in small claims court if it qualifies.

Time limit to bring claims. Any claim arising out of or related to these Terms or the Service must be filed within one (1) year after the claim arose, or it is permanently barred.

16. General Provisions

• Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and FinnStatement regarding the Service and supersede any prior agreements.
• Changes to these Terms. We may update these Terms from time to time by posting a revised version with an updated “Last Updated” date. Material changes will be highlighted via a Site notice or email where practical. Continued use of the Service after changes take effect constitutes acceptance.
• Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
• No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
• Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Force majeure. We are not liable for delays or failures in performance resulting from causes beyond our reasonable control.
• Relationship of the parties. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and FinnStatement.
